Effectiveness; Conditions Subsequent. The continued effectiveness of this Agreement and the amendments herein provided shall be subject to the satisfaction of the following conditions subsequent within 30 days of the date hereof:
(a) the Administrative Agent shall have received from Captira and NEI fully completed schedules to their respective Security Joinder Agreement referred to in Section 2(a)(vi) and (vii) hereof, respectively, in each case in form and substance satisfactory to the Administrative Agent; and
(b) the Loan Parties shall deliver all Perfection Documents (as defined in the Security Agreement), take all Perfection Action (as defined in the Security Agreement), and do or cause to be done all things required by the Pledge Agreement with respect to Pledged Interests, in each case as the Administrative Agent shall request (in accordance with the terms of the Loan Documents). For the avoidance of doubt, any failure by the Company or its Subsidiaries to satisfy any condition subsequent set forth in this Section 3, and such failure has not otherwise been waived or consented to by the Administrative Agent (including an extension of time for satisfaction of any such conditions subsequent), shall constitute an Event of Default.
Effectiveness; Conditions Subsequent. The effectiveness of this Agreement and the amendments to the Credit Agreement provided for in Paragraph 1 hereof are all subject to the satisfaction of the following condition subsequent: The effectiveness of the assignment by Bank of America of a portion of its Commitment to each of The Bankers Bank, Washington Mutual Bank, F.A., First Tennessee Bank National Association and Regions Bank pursuant to an Assignment and Assumption dated as of the date hereof.
Effectiveness; Conditions Subsequent. The continued effectiveness of the amendments herein provided shall be subject to the satisfaction of the following conditions subsequent:
(a) The Administrative Agent shall have received (i) within five (5) Business Days following the date hereof, all documents and instruments required by Section 6.13 and (ii) within five (5) Business Days following the date hereof or such longer period as the Administrative Agent may permit, all landlord waivers requested by the Administrative Agent pursuant to Section 6.15 of the Credit Agreement, in each case with respect to NSS and any of its Subsidiaries, in form and substance satisfactory to the Administrative Agent.
(b) Within 120 days following the date hereof, all Deposit Accounts (as defined in the Security Agreement) of NSS or any of its Subsidiaries shall be maintained with Bank of America, N.A.
