Common use of Effectiveness; Counterparts; Amendments Clause in Contracts

Effectiveness; Counterparts; Amendments. This Agreement shall become effective when copies hereof which, when taken together, bearing the signatures of EDS, the Administrative Agent and the Majority Lenders shall have been received by the Administrative Agent (or its counsel). This Agreement may not be amended nor may any provision hereof be waived except pursuant to a writing signed by EDS, the Administrative Agent and the Majority Lenders. This Agreement may be executed in two or more counterparts, each of which shall constitute an original but all of which when taken together shall constitute a single contract. Delivery of an executed counterpart of a signature page of this Agreement by telecopy shall be effective as delivery of a manually executed counterpart of this Agreement.
