Common use of Effectiveness; Entire Agreement Clause in Contracts

Effectiveness; Entire Agreement. This Agreement shall become effective as of the Effective Date. As of the Effective Date, this Agreement sets forth the entire understanding of the parties and supersedes all prior agreements, arrangements and communications, whether oral or written, pertaining to the subject matter hereof, including the Prior Agreement. Prior to the Effective Date, the Prior Agreement shall remain in effect in accordance with its terms.

As of This Agreement contains all the Effective Date, this Agreement sets forth the entire understanding of understandings between the parties hereto pertaining to the matters referred to herein, and supersedes all prior any other undertakings and agreements, arrangements and communications, whether oral or writtenin writing, pertaining previously entered into by them with respect thereto, including, the Prior Agreement. The Executive represents that, in executing this Agreement, she does not rely and has not relied upon any representation or statement made by the Company not set forth herein with regard to the subject matter hereof, including the Prior Agreement. Prior to the Effective Date, the Prior or effect of this Agreement shall remain in effect in accordance with its termsor otherwise.
