Effectiveness, Integration, and Amendment Sample Clauses

Effectiveness, Integration, and Amendment. This Agreement shall supersede any and all prior agreements, written or oral, regarding the matters discussed herein, Owners and Manager agreeing that this Agreement sets forth the entire understanding and agreement of the parties with respect to such matters. This Agreement shall be recorded in the Official Records to give public notice of the encumbrances hereby created, and shall continue to be effective from the Effective Date forward in perpetuity unless modified, amended, or terminated, and no such modification, amendment or termination shall be effective unless in a writing signed by all of the Owners and/or their respective successors in interest intended to be bound and duly recorded in said Official Records. Any of the Easements granted hereunder, and any limitation on the use thereof, may be modified, amended or terminated by a writing signed by the Owners of all of the Parcels burdened or benefitted by such Easement, the Owners of all other portions of the Land being hereby deemed to have consented and agreed to such modification, amendment or termination.
