Effectiveness of and Limitation on Demand Registration. The Company shall not be obligated to honor any request for a Demand Registration hereunder if the Company has, within the nine month period immediately preceding the request for such Demand Registration, honored agreement for a Demand Registration hereunder, or otherwise offered securities pursuant to a registration statement under the Securities Act (other than a registration statement on Form S-4 or S-8 (or any substitute form that may be adopted by the Commission) or a registration statement filed in connection with an exchange offer or offering of securities or debt solely to the Company's existing security or debt holders).
