Common use of Effectiveness of Exercise Clause in Contracts

Effectiveness of Exercise. Unless otherwise requested by the holder hereof, this Warrant shall be deemed to have been exercised and such certificate or certificates representing Warrant Shares shall be deemed to have been issued, and the holder or transferee so designated in the Notice of Exercise (subject to the provisions of section 3.2) shall be deemed to have become the holder of record of such Warrant Shares for all purposes, as of the close of business on the date on which the Notice of Exercise, the Exercise Price and this Warrant shall have been received by the Holding Company.

Effectiveness of Exercise. Unless otherwise requested by the holder hereof, this Warrant shall be deemed to have been exercised and such certificate or certificates representing Warrant Shares shall be deemed to have been issued, and the holder or transferee so designated in the Notice of Exercise (subject to the provisions of section 3.2) shall be deemed to have become the holder of record of such Warrant Shares shares for all purposes, as of the close of business on the date on which each of the Notice of Exercise, payment of the Exercise Price and this Warrant shall have been are received by the Holding Company.

Effectiveness of Exercise.
