Common use of Effectiveness of Merger Clause in Contracts

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of Nevada; or (ii) June 1, 1996 (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Nevada pursuant to the Florida Act and Nevada Law.

Effectiveness of Merger.
