Effectiveness of Merger. On the Closing Date, subject to the satisfaction or waiver of all conditions to the obligations of the parties to consummate the Merger, (a) CIBER SUB and ALPHANET shall execute and deliver the Certificate of Merger, which certificate shall be substantially in the form attached hereto as Exhibit A, and file such Certificate of Merger with the Secretary of State of the State of New Jersey pursuant to Section 14A: 10-4.1 of the NJBCA. The Merger shall become effective as of the filing of the Certificate of Merger with the Secretary of State of the State of New Jersey or at such later date and time as may be specified in the Certificate of Merger (the "Effective Time").
