Common use of Effectiveness of Merger Clause in Contracts

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon filing of the Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of Nevada (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Nevada pursuant to the provisions of Sections 607.1101-607.1107 of the Florida Business Corporation Act (the "Florida Act") and the laws of the State of Nevada ("Nevada Law").
