Common use of Effectiveness of Merger Clause in Contracts

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon filing of the Merger Agreement with the Secretary of State of the State of Florida (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida pursuant to the provisions of Sections 607.1101-607.1107 of the Florida Business Corporation Act (the "Florida Act").

Effectiveness of Merger.
