Common use of Effectiveness of Merger Clause in Contracts

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of Texas; or (ii) October 1, 1997 (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas pursuant to the Florida Act and Texas Law.

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of Texas; or (ii) October November 1, 1997 (the "Effective Date"). Such Effective Date shall be indicated on Certificates Certificate of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas pursuant to the Florida Act and Texas LawAct.

The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of the Merger Agreement with the Secretary of State of the State of Florida and the Secretary of State of the State of Texas; or (ii) October 1, 1997 (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas pursuant to the provisions of Sections 607.1101-607.1107 of the Florida Business Corporation Act and Texas Law(the "Florida Act").
