Effectiveness of Registration Rights. The registration rights pursuant to Sections 2 and 3 hereof shall become effective as of the first day of the sixth month following the Closing Date and terminate on the 3rd anniversary of the Closing Date; provided, that the rights set forth herein shall continue as necessary to effect a written notice submitted prior to the termination of this Agreement.
