Effectiveness of the Amended and Restated Credit Agreement. Pursuant to the terms hereof subject to the satisfaction of the conditions set forth in Section 5 hereof, the Administrative Agent and the Collateral Agent are hereby directed and instructed by each party hereto to execute and deliver the Amended Credit Agreement in the form attached hereto as Exhibit C and each Restated Credit Document (on behalf of the Lenders and the Agents party thereto). Effectiveness of the Amended and Restated Credit Agreement. The Restated Credit Agreement shall become effective on the date on or after the Amendment Effective Date on which each of the conditions in Section 6.1 of the Restated Credit Agreement is satisfied (the “Restatement Closing Date”).
