Effectiveness of This Agreement and Termination Thereof. (a) This Agreement shall become effective on the Effective Date. Notwithstanding the foregoing, the Placement Agent or the Company may prevent this Agreement from becoming effective without liability of any party to any other party, except as provided in Section 10(c) of this Agreement, if the party making such election gives notice to the other party before the time this Agreement becomes effective.
