Effectiveness; Term of Agreement; Prior Severance Agreement. This Agreement shall become effective upon the closing of the IPO. Subject to an earlier termination of Employee’s employment with the Company pursuant to Article 5, this Agreement shall terminate and be of no further force or effect on the Agreement Termination Date. Upon the effectiveness of this Agreement, the Prior Severance Agreement shall terminate and be of no further force or effect. If the IPO does not close by March 31, 2010, this Agreement shall be void ab initio and the Prior Severance Agreement shall remain in full force and effect in accordance with its terms as of such date.
