Common use of Effects of the Second Merger Clause in Contracts

Effects of the Second Merger. The Second Merger shall have the effects set forth in Section 18-209 of the DLLCA. Without limiting the foregoing, from and after the Second Merger Effective Time, the Surviving Company shall possess all properties, rights, privileges, powers and franchises of Xxxxx and Merger Sub 2, and all of the claims, obligations, liabilities, debts and duties of Xxxxx and Merger Sub 2 shall become the claims, obligations, liabilities, debts and duties of the Surviving Company.

Effects of the Second Merger. The Second Merger shall have the effects set forth in Section 18-209 provided herein and the applicable provisions of the DGCL and the DLLCA. Without limiting the generality of the foregoing, from and after at the Second Merger First Effective Time, the Surviving Company Entity shall possess all properties, of the rights, privilegespowers, powers privileges and franchises franchises, and be subject to all of Xxxxx the Liabilities, of the Surviving Corporation and Merger Sub 2, and all of the claims, obligations, liabilities, debts and duties of Xxxxx and Merger Sub 2 shall become the claims, obligations, liabilities, debts and duties of the Surviving CompanyII.
