Effects of the Toreador Merger. The Toreador Merger shall have the effects stated in the DGCL. At the Effective Time, (i) the certificate of incorporation of Toreador shall be amended to read in its entirety as set forth in Exhibit G hereto and, as so amended, such certificate of incorporation shall be the certificate of incorporation of Toreador Surviving Corporation until thereafter amended as provided therein or by Applicable Law (as defined in Section 9.09(d)) and (ii) the by-laws of Toreador, as in effect immediately prior to the Effective Time, shall be the by-laws of Toreador Surviving Corporation, until thereafter amended as provided therein, in the certificate of incorporation of Toreador Surviving Corporation or by Applicable Law.

  • Capitalization of Merger Sub The authorized capital stock of Merger Sub consists solely of 1,000 shares of common stock, par value $0.01 per share, all of which are validly issued and outstanding.   • Terms of the Merger Subject to the terms and conditions of the Agreement and Plan of Reorganization, dated as of August 24, 2014, between American and MainStreet (the “Agreement”), at the Effective Date (as defined herein), MainStreet shall be merged with and into American (the “Merger”) in accordance with the provisions of Virginia law, and with the effect set forth in Section 13.1-721 of the Virginia Stock Corporation Act (the “VSCA”).
