EGC Status and Testing-the-Waters Communications Clause Samples

The "EGC Status and Testing-the-Waters Communications" clause defines the rights and obligations of an issuer that qualifies as an Emerging Growth Company (EGC) under securities laws, particularly regarding pre-offering communications. It typically allows the issuer to engage in "testing-the-waters" activities, such as discussing the potential offering with qualified institutional buyers or institutional accredited investors before filing a registration statement. This clause ensures that the issuer can gauge investor interest and receive feedback without violating securities regulations, thereby facilitating a more informed and efficient capital-raising process.
