ELECTION NOT TO EXERCISE DISSENTER'S RIGHTS. The HSI Stockholder hereby represents and warrants that the HSI Stockholder has reviewed the laws providing for dissenters' rights under the corporation laws of the States of Nevada and California and expressly elects not to exercise dissenters' rights and instead to participate in this Exchange pursuant to this Agreement.
