Common use of Election; Resignation; Removal Clause in Contracts

Election; Resignation; Removal. (a) Each Member Manager shall serve from the effective date of its designation until the effective date of its resignation or removal. In the event any Member Manager ceases to be a Member Manager of the Company whether by resignation or removal as provided in this Agreement or otherwise, a successor Member Manager shall be elected by a Majority Vote. The Members agree to vote for the Member Managers designated in accordance with Section 6.1 hereof. Such successor Member Manager shall execute an instrument reasonably satisfactory to the Members accepting and agreeing to the terms and conditions of this Agreement.
