Common use of Election to Adjust Warrants Rather than Exercise Price Clause in Contracts

Election to Adjust Warrants Rather than Exercise Price. Holder may elect on or after the date of any adjustment to the Exercise Price to adjust the number of Warrants and Warrant Shares purchasable instead of the Exercise Price. Upon any such election, the number of Warrants (and Warrant Shares purchasable) will be determined by multiplying the number of Warrants and Warrant Shares purchasable by a fraction, the numerator of which is the Exercise Price in effect immediately prior to such adjustment and the denominator of which is the Exercise Price in effect as a result of such adjustment.
