Election to Tender Transferor Partnership Interests. The election of a Transferor Partner to tender all or a part of the Transferor Partnership Interests owned by the Transferor Partner shall be made by such Transferor Partner's execution of a Letter of Transmittal and the return of the Letter of Transmittal to the Custodian for delivery to the REIT pursuant to the Custody Agreement. Following the Commitment Date the tender of Transferor Partnership Interests shall be irrevocable.
