Elections Generally. The Director may annually file a Fees Deferral Election Form with the Plan Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to such Fees will be performed. Notwithstanding anything to the contrary, the Director may not elect to defer Fees in an amount greater than $10,000 each Plan Year, or such greater or lesser amount as may be established by the Board each Plan Year.
Elections Generally. The Executive may annually file a Compensation Deferral Election Form with the Plan Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to such Compensation will be performed.

The Executive may annually file a Base Salary, Bonus and Performance-Based Compensation Deferral Election Form and a Benefit Payment Election Form with the Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to the compensation to be deferred will be performed. (b) For Performance-Based Compensation, no later than six months before the end of the service period during which the Performance-Based Compensation is measured. The Election Form(s) shall set forth the amount of Base Salary and Performance-based Compensation to be deferred and shall – for Base Salary only – be effective to defer only such compensation earned for services performed after the date the Election Form(s) are received by the Plan Administrator. Subsequent Election Form(s), subject to Section 2.3(b), shall only be effective for the Plan Year following the Plan Year in which they are received and approved by the Plan Administrator.

Reg. §1.409A-2(a)(8) and (ii) such Performance-Based Compensation has not become readily ascertainable. In addition to the Contributions, each year the Executive may elect to defer up to One Hundred Thousand Dollars ($100,000) of Base Salary into the Deferral Account by filing a Deferral Election Form with the Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to the compensation to be deferred will be performed.

The Executive may make deferral election changes as frequently as annually by filing a new election form with the plan administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to such Bonus will be performed, provided, however, if any bonus is determined to be Performance-Based Compensation, the election may be filed no later than six months before the end of the service period during which such Bonus is earned. Any change to the deferral election in accordance with this Section 2.2 will remain effective until such time as a subsequent election change is made in accordance with this Section 2.2.
