Elections Generally. The Director may annually file a Deferral Election Form with the Plan Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to such Fees will be performed.

The Executive may annually file a Base Salary, Bonus and Performance-Based Compensation Deferral Election Form and a Benefit Payment Election Form with the Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to the compensation to be deferred will be performed. The elections shall specify the amount of Compensation to be deferred for the following Plan Year as well as the timing of payment of such Deferrals.
Elections Generally. The Executive may annually file a Compensation Deferral Election Form with the Plan Administrator no later than the end of the Plan Year preceding the Plan Year in which services leading to such Compensation will be performed.

Elections Generally. Unless otherwise provided for by the Secretary, the Participant may file annually Base Salary and Performance-Based Compensation Election Form(s) with the Plan Administrator no later than:
(a) For Base Salary, the end of the Plan Year preceding the Plan Year in which services leading to such Base Salary will be performed; and
(b) For Performance-Based Compensation, no later than six months before the end of the service period during which the Performance-Based Compensation is measured. The Election Form(s) shall set forth the amount of Base Salary and Performance-based Compensation to be deferred and shall – for Base Salary only – be effective to defer only such compensation earned for services performed after the date the Election Form(s) are received by the Plan Administrator. Subsequent Election Form(s), subject to Section 2.3(b), shall only be effective for the Plan Year following the Plan Year in which they are received and approved by the Plan Administrator.

Notwithstanding the foregoing, if any Compensation is determined to be Performance-Based Compensation, the Executive shall have until six (6) months before the end of the service period on which the Performance-Based Compensation is based to file a Deferral Election Form with respect to such Performance-Based Compensation provided that (i) the election satisfies all the requirements in Treas. Reg. §1.409A-2(a)(8) and (ii) such Performance-Based Compensation has not become readily ascertainable. Notwithstanding anything to the contrary, the Executive may not elect to defer Compensation in an amount greater than $10,000 each Plan Year, or such greater or lesser amount as may be established by the Board each Plan Year.

With respect to Performance-Based Compensation to be earned over a single calendar year, the Performance-Based Compensation Deferral Election may be filed no later than June 30 of the calendar year in which services leading to the Performance-Based Compensation to be deferred will be performed, provided that the Performance-Based Compensation is not readily ascertainable at such time. Notwithstanding the foregoing, if any bonus is determined to be Performance-Based Compensation, the Executive shall have until six (6) months before the end of the service period to file a Deferral Election Form with respect to such Performance-Based Compensation.

Except as specifically provided in this Agreement, any election under a Base Salary, Bonus and Performance-Based Compensation Deferral Election Form shall be irrevocable as of December 31 of the Plan Year immediately preceding the Plan Year with respect to which the election relates.
