Common use of Eligibility for Annual Equity Awards Clause in Contracts

Eligibility for Annual Equity Awards. Executive shall be eligible to receive an annual grant of stock options or other equity awards, in the sole discretion of the Compensation Committee, in accordance with the applicable plans and programs for senior executives of the Company and subject to the Company’s right to at any time amend or terminate any such plan or program, so long as any such change does not adversely affect any accrued or vested interest under any such plan or program.

Eligibility for Annual Equity Awards. During the Term, Executive shall be eligible to receive an annual grant of stock options options, restricted stock units or other equity awards, awards in the sole discretion of the Compensation Committee, Committee and in accordance with the applicable plans and programs of the Company for senior executives of the Company and subject to the Company’s right to at any time amend or terminate any such plan or program, so long as any such change does not adversely affect any accrued or vested interest of Executive under any such plan or program.

Executive shall be eligible to receive an annual grant of stock options options, restricted stock units or other equity awards, awards with a value up to 155% of Executive’s base salary in the sole discretion of the Compensation Committee, Committee and in accordance with the applicable plans and programs for senior executives of the Company and subject to the Company’s right to at any time amend or terminate any such plan or program, so long as any such change does not adversely affect any accrued or vested interest of Executive under any such plan or program.
