Common use of Eligibility for Retention Bonus Clause in Contracts

Eligibility for Retention Bonus. Subject to the terms of this Agreement, Executive shall receive a retention bonus (the “Retention Bonus”) if Executive remains an employee of the Company through January 1, 2007 (the “Retention Date”). The term “Company” shall include any affiliate (as such term is defined in Rule 12b-2 of the General Rules and Regulations under the Securities Exchange Act of 1934, as amended) that employs Executive.

Subject to the terms of this Agreement, Executive shall receive a retention bonus (the “"Retention Bonus”) "), if Executive remains an employee of the Company through January 1February 9, 2007 2021 (the “"Retention Date”"). The term “"Company” " shall include any affiliate (as such term is defined in Rule 12b-2 subsidiary of the General Rules and Regulations under the Securities Exchange Act of 1934, as amended) Company that employs Executive. Executive shall be eligible to receive the Retention Bonus pursuant to the terms of this Agreement, notwithstanding any provision in any agreement between Executive and the Company or any of its affiliates to the contrary, including without limitation, the Executive Severance Agreement.
