Eligibility for Standard Severance Benefits. If the Executive's employment with the Company is terminated (i) by the Company without Cause or (ii) by the Executive for Good Reason, in each case other than during the Post Change of Control Period, the Executive shall be eligible for the benefits described in Section 4.2 (the "Standard Severance Benefits").
