Common use of Eligibility for Use of Form S-3 Clause in Contracts

The Company agrees that at such time after December 31, 1999 as it meets all the requirements for the use of Securities Act Registration Statement on Form S-3 it shall file all reports and information required to be filed by it with the Commission in a timely manner and take all such other action so as to maintain such eligibility for the use of such form.
