ELIGIBILITY OF SHARES FOR PAYMENT. Other than as set forth in this Agreement otherwise, all Shares are eligible for payment regardless of any restrictive legend affixed thereupon or applicable thereto, any dissenter’s rights and any other restrictions on payment, Purchaser agrees to provide the information on the list of affiliates, ineligible shares and certain plans as required by Exhibit C, as requested.
