ELIMINATION OF FRACTIONS. The Optionor shall not be required to transfer fractional shares of Common Stock upon any exercise of Options. As to any final fraction of a share that the Holder would otherwise be entitled to purchase upon such exercise, no cash or other adjustment in respect of such final fraction shall be made and it shall be disregarded for all purposes.
