Embedded Software. To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.
Embedded Software. Transfer of title to the Product must include an irrevocable and perpetual license to use any Embedded Software in the Product. If Purchasing Entity subsequently transfers title of the Product to another entity, Purchasing Entity shall have the right to transfer the license to use the Embedded Software with the transfer of Product title. A subsequent transfer of this software license will be at no additional cost or charge to either Purchasing Entity or Purchasing Entity’s transferee.
Embedded Software. Our Equipment may contain embedded software. You agree that:
(a) Pitney Xxxxx Inc. and its licensors own the copyrights and other intellectual property in and to the embedded software; (b) you are licensed only to use the embedded software with our Product in which the embedded software resides; (c) you will not copy, modify, de-compile, or otherwise attempt to unbundle, reverse engineer or create derivative works of the embedded software, except as permitted by applicable law; (d) you will not distribute or otherwise disclose the embedded software (or any portion thereof) to any other person; and (e) you may not export the embedded software in contravention of applicable export control laws. The embedded software contains third party software, which, notwithstanding the above, is subject to any terms that may accompany such third party software.
Embedded Software. Our Products may contain embedded software. You agree that: (a) Pitney Xxxxx Inc and its licensors own the copyrights and other intellectual property in and to the embedded software; (b) you are licensed only to use the embedded software with our Product in which the embedded software resides; (c) you will not copy, modify, de-compile, or otherwise attempt to unbundle, reverse engineer or create derivative works of the embedded software, except as permitted by applicable law; (d) you will not distribute or otherwise disclose the embedded software (or any portion thereof) to any other person; and
Embedded Software. 5.1. To the extent that software and/or documentation is embedded in or delivered with the Goods and/or Services, the sale of such Goods and/or Services shall not constitute the transfer of ownership rights or title in such software and/or documentation to Purchaser, but, subject to the provisions set forth herein, shall only imply a non-exclusive and non-transferable license to Purchaser to use such software and/or documentation in conjunction with and as embedded in or delivered with the Goods and/or Services. To the extent Parties have agreed that third party software and/or documentation shall be embedded in or delivered with the Goods and/or Services, Purchaser acknowledges and accepts that license terms of third parties may apply.

Embedded Software. During the Suite Term, for Purchased Suites that include Embedded Software, the value of Embedded Software may be deducted from the purchase price of the related Hardware from Cisco to Your Approved Source. If You are required to pay an importation fee, Your jurisdiction may use the value of both the Hardware and Embedded Software to calculate the importation fee and related duties. Accordingly, the importation fee on the value of the combined products may be higher than if calculated solely using the price of the Hardware.
Embedded Software. To the extent any Deliverables and/or Buyer Custom Development contain Embedded Software (defined above) that is not Buyer’s Property and no title to such Embedded Software passes to Buyer, the Supplier shall grant Buyer, Buyer's Affiliates, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, copy, install, execute, demonstrate,market, test, resell, sublicense, prepare derivative works, and distribute such Embedded Software as an integral part of such Deliverables or for servicing the Deliverables (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third-party Supplier shall obtain the Buyer-Required License from such third-party owner prior to Delivery.
Embedded Software. Our Equipment may contain embedded software. For embedded software, you agree that: (i) we and our licensors own the copyrights and other intellectual property to it; (ii) you are licensed only to use it with our Equipment in which it resides; (iii) you won’t copy, modify, de-compile, or attempt to unbundle, reverse engineer or create derivative works of it; and (iv) you won’t distribute or disclose it (or any portion) to anyone. The embedded software may contain third party software which is subject to any terms accompanying it. Technical support for embedded software will be given according to the SLA covering the Equipment with the embedded software.
