Supplier Changes. Supplier shall not make any revisions to the ---------------- Specifications without the prior written consent of GWI. If Supplier desires to change any Specifications (including changes described in Section 7.1(h) below), Supplier shall notify GWI, in writing and in reasonable detail, of: (i) Supplier's suggested change; (ii) the reasons for the suggested change; (iii) the perceived benefits to Supplier and GWI, respectively, of the suggested change; and (iv) the estimated costs and timing of implementing such change, all in accordance with the procedures set forth in Schedule 7.1(i) attached hereto --------------- and incorporated herein by reference. GWI shall be under no obligation to accept, approve or bear the costs of any suggested changes. In the event Supplier is proposing any change to the Specifications on the basis that the change is required to bring the Specifications into conformity with CGMP or any Legal Requirements, then Supplier shall notify GWI of the basis of its determination. If GWI does not concur with Supplier's determination, then GWI shall be liable for any Losses incurred by Supplier (other than special or consequential damages) or GWI arising in connection with Supplier's performance of its obligations under this Agreement to the extent due to GWI's failure to implement the change requested by Supplier, except to the extent Supplier withheld material information or misrepresented the material information upon which GWI made its determination.

The Supplier Change Notice must: Set out the proposed change to the Services in sufficient detail to enable the Authority to evaluate it in full; Specify the Supplier’s reasons for proposing the change to the Services; Request the Authority to consult with the Supplier with a view to deciding whether to agree to the change to the Services and, if so, what consequential changes the Authority requires as a result; Indicate any implications of the change to the Services; Indicate whether a variation to the Contract Price is proposed; and Indicate if there are any dates by which a decision by the Authority is critical. The Authority shall evaluate the Supplier’s proposed change to the Services in good faith, taking into account all relevant issues, including (without limitation) whether: A change to the Contract Price will occur; The change effects the quality of the Services or the likelihood of successful delivery of the Services; The change will interfere with the Authority’s business or the relationship of the Authority with third parties; and The change materially affects the risk or costs to which the Authority is exposed. As soon as practicable after receiving the Supplier Change Notice, the parties shall meet and discuss the matter referred to in it. During their discussions the Authority may propose modifications or approve or reject the Supplier Change Notice. If the Authority approves the Supplier Change Notice (with or without modification) the implementation of the relevant change to the Services shall be commenced within [5] business days of the Authority’s acceptance. Within this period, the parties shall consult and agree the remaining details as soon as practicable and shall execute a variation in the form set out in schedule [ ] and shall enter into any such further documentation or agreements as may be necessary to give effect to the relevant change. If the Authority rejects the Supplier Change Notice, it shall not be obliged to give its reasons for such a rejection. Supplier Changes. No process changes, design changes, or process step discontinuances affecting the electrical performance (whether specified or not), the mechanical form or fit, the environmental compatibility or chemical characteristics, or the life reliability of Product (collectively “Changes”) shall be made or incorporated in Product without the prior written approval of AMD. Supplier shall give AMD notice of any proposed Change and provide evaluation samples and other appropriate information as specified by AMD. The notice must be received by AMD at least ninety (90) days, plus the agreed upon lead time, prior to the first proposed shipment of any Product affected by the Change.
