Amend any Target Employee Plan or adopt any plan that would constitute a Target Employee Plan except in order to comply with applicable laws or regulations, or hire any new officer-level employee, pay any special bonus, special remuneration or special noncash benefit to any officer-level employee (except payments and benefits made pursuant to written agreements outstanding on the date hereof), or, other than in the ordinary course of business consistent with past practices, increase the benefits, salaries or wage rates of its employees;
