Employee Payment Matters. At or prior to Closing, the following Liabilities shall be included in the calculation of the Closing Date Net Working Capital in accordance with Section 3.5: (i) employee or independent contractor compensation and benefits accrued and unpaid for services rendered by all employees and independent contractors of the Acquired Companies prior to the Closing; and (ii) subject to Section 10.15.3, Liabilities with respect to payroll, vacation and sick leave incurred or accrued, and that remain unpaid, at Closing, in each case, with respect to present or former employees or independent contractors of the Acquired Companies.
