Common use of Employee Plans of the Purchased Entities' ERISA Affiliates Clause in Contracts

Employee Plans of the Purchased Entities' ERISA Affiliates. Except as would not have a Material Adverse Effect, there has been no Employee Plan Event with respect to any Employee Plan of any person that is an ERISA Affiliate of the Purchased Entities or who was an ERISA Affiliate of the Purchased Entities at any time since December 31, 1993, in respect of which any liability could be expected to be incurred by any of the Purchased Entities.
