Executive hereby acknowledges his obligations pursuant to his Employee Proprietary Information, Inventions and Noncompete Agreement attached hereto as Exhibit A (the "Proprietary Information Agreement"), including but not limited to, the obligation to refrain from using or disclosing the proprietary information of the Company. Executive acknowledges that these obligations shall survive the termination of his employment with the Company, consistent with the terms of the Proprietary Information Agreement.
