Common use of EMPLOYEE REPRESENTATIONS AND WARRANTIES AND RELEASE Clause in Contracts

EMPLOYEE REPRESENTATIONS AND WARRANTIES AND RELEASE. As a condition to any nonforfeiture of the Units at or after Termination of Employment and to any settlement of the Units, the Company may require Employee (i) to make any representation or warranty to the Company as may be required under any applicable law or regulation and (ii) to execute a separation agreement and a release of claims against the Company arising before the date of such release, in such form as may be specified by the Company.
