Employee's Acknowledgments and Agreements. Employee acknowledges and agrees that the products developed by Innovex are or are intended to be marketed and licensed to Customers in various markets throughout the world. Employee further acknowledges and agrees to the reasonableness of the covenants contained in this Section 8, including the reasonableness of the geographic area and duration of time which are part of said covenant. Employee also acknowledges and agrees that this covenant will not preclude Employee from becoming gainfully employed following termination of employment with Innovex. Employee certifies that he is not currently subject to a noncompetition agreement with a former employer which prohibits him from working for Innovex.

Employee further acknowledges and agrees to the reasonableness of this covenant not to compete and the duration of time that are a part of this covenant. Employee's Acknowledgments and Agreements. By signing this Agreement, Employee acknowledges and agrees: (a) that the Confidential Information of the Company is and shall continue to be the exclusive proprietary property of the Company, and that nothing contained in this Agreement shall be construed as granting any property rights, by license or otherwise, to any Confidential Information; (b) that the Company's business and services are highly specialized in nature and scope; that the Confidential Information is not generally known and are secret; that the Company has provided and will, after the execution of this Agreement, provide Employee information about the Company's suppliers, customers, potential development of products and services, which is Confidential Information; and that the value of this information cannot adequately be compensated by damages in an action at law; (c) that the Confidential Information of the Company are valuable and unique assets that provide the Company an advantage over competitors, are developed or acquired by the Company at considerable time and expense, and are proprietary to the Company and are intended to be used solely for the benefit of Company; (d) that the Company has earned goodwill with its suppliers and customers; that the Company has provided and will continue to provide Employee the Company's goodwill for use in developing relationships with suppliers and customers; that Employee could not develop these relationships without using the Company's goodwill; that this goodwill is valuable; and that the value of this goodwill cannot adequately be compensated by damages in an action at law; (e) that, but for Employee's agreement to the terms and conditions of this Agreement, Company would not impart or provide access to such Confidential Information to Employee; (f) that, as of the date of execution of this Agreement, Employee does not have the necessary training or experience to fulfill his or her duties as an Employee for Company and that, therefore, Company will devote substantial time and money to train Employee to perform his or her duties for Company. Employee agrees that Company would not provide this valuable training to Employee without Employee's agreements set forth herein; and (g) that, Employee agrees that, in exchange for the consideration identified herein, including the Company's promise to provide, and provision of Confidential Information and training as well as allowing Employee to utilize Company's goodwill, all of the following obligation...

Employee's Acknowledgments and Agreements. The Employee acknowledges and agrees that: (1) Due to the nature of the Company's business, the foregoing covenants place no greater restraint upon the Employee than is reasonably necessary to protect the business and goodwill of the Company; (2) These covenants protect a legitimate interest of the Company and do not serve solely to limit the Company's future competition; (3) This Agreement is not an invalid or unreasonable restraint of trade; (4) A breach of these covenants by the Employee would cause irreparable damage to the Company; (5) These covenants will not preclude the Employee from becoming gainfully employed following termination of employment with the Company; (6) These covenants are reasonable in scope and are reasonably necessary to protect the Company's business and goodwill and valuable and extensive trade which the Company has established through its own expense and effort; (7) The signing of this Agreement is necessary for the Employee's employment; and (8) He has carefully read and considered all provisions of this Agreement and that all of the restrictions set forth are fair and reasonable and are reasonably required for the protection of the interests of the Company.
