Employees; Employee Benefits Matters. The Company shall fully compensate its employees for any accrued vacation pay through the effectiveness of the Closing. The Company shall cause interests of Assumed Employees of the Company in its 401(k) plan to become distributable pursuant to Internal Revenue Code Section 401(k)(10)(A) and any amounts distributed to such employees may be rolled over pursuant to Internal Revenue Code Section 402 to a comparable plan maintained by the Purchaser.
