Employees in General. Schedule 4.1 contains a list of:
(a) the Seller’s employees working at the WREL facility as of the date of this Agreement who will become Buyer’s employees (Accepting Employees) upon closing;
(b) the Seller’s employees working at the Houston office as of the date of this Agreement who will become Buyer’s employees (Accepting Employees) upon closing.
Employees in General. The Disclosure Schedule contains a true and complete list of each employee who performs services directly related to the Business as of the Effective Date and is represented by the Union (as defined in 6.9(b) herein) (each, a "Represented Employee"), and each regular, full-time and regular, part-time employee who performs services directly related to the Business as of the Effective Date and is not represented by the Union (each, a "Non-Represented Employee"). The Represented Employees and Non-Represented Employees are sometimes collectively referred to herein as "Business Employees."

(b) the regular, full-time and regular, part-time non-represented employees working at the Refinery as of the date of this Agreement (each, a "Non-Represented Employee"); which employees are employees of Seller (collectively Represented Employees and Non- Represented Employees, the "Employees"); and
(c) the employees at the Refinery who are classified as not actively at work and have a long term disability that is permanent and stationary and are not capable of meeting the essential functions of the job with or without accommodation (each such employee an "Inactive Employee").

Employees in General. Schedule 4.1 contains a list of:
(a) the employees, including Short-Term Inactive Employees as defined below in paragraph 4.1(c), working at the Refinery as of the date of this Agreement who are represented by the Union (each, a "Represented Employee");
(b) the regular, full-time and regular, part-time employees, including Short-Term Inactive Employees as defined below in paragraph 4.1(c), working at the Refinery, in marketing support and at the Retail Sites as of the date of this Agreement who are not represented by the Union ( each, a "Non-Represented Employee"), which employees are employees of Seller (collectively Represented Employees and Non-Represented Employees, the "Employees"); and
(c) the employees at the Refinery and in marketing support who, as of the date of this Agreement, are not actively at work, including those who are on inactive employee status or leave of absence (each such employee an "Inactive Employee"). "Short-Term Inactive Employee" shall mean an employee who is not actively at work due to illness but who is not on inactive employee status or leave of absence other than a Family Medical Leave. "Long-Term Inactive Employee" shall mean an employee who is on inactive employee status or leave of absence except a Family Medical Leave. Schedule 4.1 shall identify in separate groupings the Short-Term Inactive Employees who are on Family Medical Leave and all the Long-Term Inactive Employees, and the reason for such inactive status, the date such Family Medical Leave, inactive employee status or leave of absence began, and the date the Family Medical Leave, inactive employee status or leave of absence is scheduled to end. Schedule 4.1 will be updated 10 business days prior to Closing and again at Closing.
Employees in General. Employees of the CE Acquired Business who are actively employed immediately prior to the Effective Time (collectively "Employees") shall be offered employment with Wils▇▇ ▇▇▇ective as of the Effective Time. Effective on or after the Effective Time, Wils▇▇ ▇▇▇ll have the right to terminate any of its employees, with or without cause, except as otherwise may be agreed by Wilson, Smith, CE and Conemsco, and subject to any applicable legal restrictions.
Employees in General. Within 15 days after the Effective Date, Seller will deliver, and the parties shall attach as Exhibit AA, a list of all active employees at each of the Sites who work full or part time as managers, assistant managers, cashiers, coffee bar personnel and similar positions below the managers (“Station Employees”). Such list shall be updated by Sellers as necessary at any time prior to Closing. Sellers also have employees employed at its corporate office or in the field in various capacities, including auditors, supervisors, construction personnel, repair and maintenance personnel and other employees who do not work directly at a Site (collectively, “Corporate Employees”).
Employees in General. USNewco Employees. Employees of the portion of the M-I Drilling Fluids Business contributed on behalf of Smit▇ ▇▇ USNewco ("M-I Domestic Business") who are actively employed immediately prior to the Effective Time shall become employees of USNewco effective as of the Effective Time. Effective on or after the Effective Time, USNewco shall have the right to terminate any of its employees, with or without cause, except as otherwise may be agreed by M-I, Smit▇ ▇▇▇ Schlumberger, and subject to any applicable legal restrictions.
