Employment Agreements and Consulting Agreements. Ramus shall have entered into Employment Agreements and Consulting Agreements to the satisfaction of Ramus. Employment Agreements would be required for ***** if they are still employed by Ramus at the time that this Option is exercised and provided that they will agree to the compensation terms in effect immediately preceding the exercise of the Option, together with any other managers that PDTC wishes to retain. The Employment Agreements will provide for customary provisions and shall include six (6) months' severance for termination without cause, and no severance if termination is for cause. *****. Any of the foregoing agreements will be terminable in the event of a breach of the covenants not to compete by that party.
