Employment During the Term. It shall not be considered a violation of the foregoing for you to continue your service on any corporate, industry, civic or charitable boards or committees on which you serve on the Effective Date and to serve on any other such boards or committees, with the advance written approval of the Board of Directors of the Company (the "Board"). During the Term, the Company will take all reasonable steps to assure that you continue to be elected or appointed to the Board. You shall devote substantially all of your business time, attention, skills and efforts exclusively to the business and affairs of the Company, other than DE MINIMIS amounts of time devoted by you to the management of your personal finances or to engaging in charitable or community services. Your principal place of employment shall be the executive offices of the Company as established from time to time, although you understand and agree that you will be required to travel from time to time for business purposes.

During the Term of Employment, Mr. -------------------------- McCanless shall devote his full professional time to the business of the Company, shall use his best efforts to promote the interests of the Company, and shall serve as President and Chief Executive Officer of the Company, reporting directly to the President and Chief Executive Officer of Delhaize Group, a member of the Office of the Chief Executive Officer of Delhaize Group, and a member of the board of directors of Delhaize Group. Xx. XxXxxxxxx'x duties and responsibilities will be commensurate with his positions and titles and not be altered to be less favorable than his duties and responsibilities with respect to the Company and Delhaize Group as in effect as of the Effective Date. By way of example and not limitation, the management processes and corporate governance of the Company and Delhaize Group, as in effect on the Effective Date (the "Governing Procedures"), shall not be modified to the detriment of Xx. XxXxxxxxx.
