Common use of Employment of the Investment Adviser Clause in Contracts

Employment of the Investment Adviser. The Trust hereby employs the Manager (i) to provide certain administrative and limited oversight services and (ii) to provide investment management and related services to the Trust and the Funds, all in the manner set forth in Section 2 of this Agreement, subject to the direction of the Trustees, and for the period, in the manner, and on the terms set forth hereinafter. The Manager hereby accepts such employment and agrees during such period to render the services and to assume the obligations herein set forth. The Manager shall for all purposes herein be deemed to be an independent contractor and, except as expressly provided or authorized (whether herein or otherwise), shall have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust.

The Manager LASC hereby accepts such employment and agrees during such period to render the services and to assume the obligations herein set forth. The Manager LASC shall for all purposes herein be deemed to be an independent contractor and, except as expressly provided or authorized (whether herein or otherwise), shall have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust.

The Manager Investment Adviser hereby accepts such employment and agrees during such period to render the services and to assume the obligations herein set forth. The Manager Investment Adviser shall for all purposes herein be deemed to be an independent contractor andand shall, except as expressly provided or authorized (whether herein or otherwise), shall have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust.
