Enabling Software Clause Samples

The Enabling Software clause defines the rights and responsibilities related to software that is necessary for a system or product to function as intended. Typically, this clause specifies whether the customer is granted access to, or a license for, the underlying software that enables the use of hardware or services, and may address issues such as updates, support, or restrictions on use. Its core practical function is to clarify ownership and usage rights of essential software components, thereby preventing disputes over access and ensuring the product or service operates as expected.
Enabling Software. This Cloud Service offering may include enabling software. You may use the enabling software only in association with your use of the Cloud Service for the length of the term of the Cloud Service. To the extent that the enabling software contains sample code, you have the additional right to make derivative works of the sample code and use them consistent with this grant. The enabling software is provided subject to the SLA, if any, as a component of the Cloud Service, but is otherwise provided “AS IS”.
Enabling Software. The SaaS Product(s) may require the use of enabling software that Customer downloads to Customer systems to facilitate use of the SaaS Product(s). Customer may use enabling software only in connection with use of the SaaS Product(s) as specified in the Documentation. Enabling software is provided “AS-IS.” Terms and conditions related to such enabling software, if any, can be accessed in the SaaS Product’s Service Descriptions.
Enabling Software. This Cloud Service offering may include enabling software. You may use the enabling software only in association with your use of the Cloud Service for the length of the term of the Cloud Service. To the extent that the enabling software contains sample code, you have the additional right to make derivative works of the sample code and use them consistent with this grant. The enabling software is provided subject to the SLA, if any, as a component of the Cloud Service, and is subject to the applicable license agreement(s). This Cloud Service offering includes the following enabling software provided by IBM: Monitoring Agent for Linux OS, Monitoring Agent for Windows OS, Monitoring Agent for Unix OS, Monitoring Agent for Linux KVM, Monitoring Agent for Ruby, Monitoring Agent for MongoDB, Monitoring Agent for mySQL, Monitoring Agent for WebSphere Applications, Monitoring Agent for PHP, Monitoring Agent for Python, Monitoring Agent for PostgreSQL, Monitoring Agent for .NET, Monitoring Agent for Tomcat, Monitoring Agent for Node.js, Integration Agent for Netcool/OMNIbus, and Response Time Monitoring Agent. Additional agents may be added over time and will be covered by this Agreement. For IBM SaaS offerings designated as “Step-up for existing Customers” (“Step-up SaaS”), the following enabling software is provided by IBM: IBM Performance Management (SaaS) Agent Converter for Linux Servers, IBM Performance Management (SaaS) Agent Converter for Windows Servers, IBM Performance Management (SaaS) Agent Converter for AIX Servers. .
Enabling Software. This IBM Offering may include Enabling Software provided by IBM or a third party supplier. If Customer downloads or installs any Enabling Software, Customer agrees not to use such Enabling Software for any purpose other than to facilitate or enable Customer’s access and use of the IBM Offering. If Enabling Software is presented with a separate license agreement (for example, the IBM International License Agreement for Early Release of Programs(“ILAER”) or other IBM or third party license agreement) at the time of installation or download, such separate agreement will govern its use. Customer agrees that Customer accepts such terms by accepting this Agreement or downloading, installing, or using the Enabling Software.
Enabling Software. IBM Kenexa LCMS Premier on Cloud Author and IBM Kenexa Hot Lava Mobile on Cloud each can support optional convenience utilities which provide authoring capabilities for learning content. IBM Kenexa LMS on Cloud can support an optional convenience utility that allows users to take data from Microsoft IE, Word or Outlook and store it in LMS. The utilities are for unlimited use with the IBM Cloud Service only. For IBM Kenexa LCMS Premier on Cloud Author, the utilities will be sent to you electronically after verification of your Proof of Entitlement for the IBM Cloud Service and acceptance of the license terms. IBM Kenexa LMS on Cloud, the utility will be sent to you electronically after verification of your Proof of Entitlement for the IBM Cloud Service and acceptance of the license terms. For IBM Kenexa Hot Lava Mobile on Cloud, a plug-in for each utility may be downloaded from the IBM Cloud Service after acceptance of the license terms.
Enabling Software. IBM Cognos Incentive Compensation Management on Cloud includes Citrix XenApp Java Client (“Citrix”) as enabling software, installed and executed on your premises. Citrix is used to deliver the Cloud Service via high-powered servers in the datacenter for online use on any device or operating system. Citrix may only be used in conjunction with the Cloud Service, and only during the subscription term for the Cloud Service offering.
Enabling Software. ● Enabling Software is software that Client downloads to Client systems that facilitates the use of a Cloud Service and will be identified in a TD. ● Enabling Software is not part of the Cloud Service and Client may use Enabling Software only in connection with use of the Cloud Service in accordance with any licensing terms specified in a TD. ● The licensing terms will specify applicable warranties, if any. Otherwise, Enabling Software is provided as is, without warranties of any kind. f. What Client Provides ● Client will provide hardware, software and connectivity to access and use the Cloud Services, including any required Client-specific URL addresses and associated certificates.
Enabling Software. The Cloud Service may require the use of enabling software that Customer downloads to Customer systems to facilitate use of the Cloud Service. Customer may use enabling software listed below solely in connection with use of the Cloud Service. The following enabling software will be provided to Customer:
Enabling Software. 17.1 If the Subscription Product(s) licensed under this Agreement are provided along with any web tool, search engine or Software in order to access the Subscription Products (“Enabling Software”), the Client agrees to use the Enabling Software only for purpose of accessing the Subscription Products and subject to the restrictions as set forth herein. 17.2 The Client shall not use any linking, deep-linking, framing or page-scraping technology, robots, spiders or other automatic devices, programs, algorithms or methodologies, or any similar or equivalent manual processes, to access, acquire, copy, distribute, display or monitor any portion of the Subscription Product(s) or any content or information provided by the Provider to the Client under this Agreement. The Client shall not in any way reproduce or circumvent the navigational structure or presentation of the Subscription Product(s) or any content, to obtain or attempt to obtain any data, materials, documents or information through any means not purposely made available through the Subscription Product(s). 17.3 The Client shall not use the Subscription Product(s) or any content or information provided by the Provider to Client under this Agreement to develop, support, create or provide pricing for any database or product that competes directly with the content or any other product or service offered by the Provider (including Subscription Products) or would create a functional substitute for any such product or service offered by the Provider (including Subscription Products). 17.4 The Client shall not attempt to and shall not decompile or disassemble, reverse engineer any data collection, sourcing, management, analytics, categorisation, or commercialisation or product development methodology and/or technologies: (a) accessible through the Subscription Product(s); or (b) owned by the Provider. Sections 17.3 to 17.4 (inclusive) shall apply to Consultancy Products only.
