Right of Access and Use. Subject to the terms and conditions of this Agreement and in consideration of the fees specified in any Order or SOW, Smartsheet grants Customer a worldwide, non-exclusive, non-transferable right to access and use of smartsheet's online services during the Applicable Term for Customer's own business purposes. Right of Access and Use. Subject to full payment of all fees when due for any paid plans, Xxxxxx-XXX authorizes/grants You a limited, non-exclusive, non-transferable, personal and temporary right to access and use the Service. This grant of rights shall not be deemed an assignment of any intellectual property rights.
Right of Access and Use. (a) Seller hereby grants to Backhaul the right to access and use the Seller’s computing systems and networks necessary for Backhaul to receive the benefit of the Services, in the sole manner described below, and for the sole purpose of operating and managing the Purchased Business and facilitating the orderly transition of the ownership and administration of the Purchased Business during the Term. Such computing systems and networks of Seller shall be cumulatively described as the “Transition Period Systems.” (i) Notwithstanding anything therein to the contrary, Backhaul agrees that neither Backhaul nor any of its employees or users shall: (A) take any action which would result in the destruction, alteration or loss of any information contained in any of the Transition Period Systems; (B) introduce any computer viruses or other harmful software programs which may damage the Transition Period Systems; (C) attempt in any way to determine the source code of any Seller’s proprietary purchased or licensed software used in the Transition Period Systems, or modify, disassemble, reverse assemble, decompile, reverse engineer or create derivative works based on such proprietary purchased or licensed software; (D) use the Transition Period Systems for any purposes other than as permitted by this Transition Services Agreement; (E) remove any proprietary notices, labels or marks on such proprietary purchased or licensed software or (F) disclose (except as otherwise permitted by subsection (b) below) any of Seller’s Proprietary Information (defined below) to any other Person. (ii) Backhaul understands that its employees and contractors shall be on the Seller’s network(s) on an “as needed” basis only and agrees to ensure its employees and contractors do not attempt to access any other applications or servers of Seller other than those expressly permitted hereunder.
Right of Access and Use. 1.1 During the Subscription term, and subject to the terms of this Agreement, We grant to You a non- exclusive right to permit those Customer Representatives authorized by You to access and use the Email Subscription on Your behalf in compliance with the terms of this Agreement, the Documentation for the Email Subscription, and up to the entitlements listed in Your Grant Letter from Us. 1.2 Notwithstanding anything else herein, the number of email inboxes You may register to the Email Subscription may not exceed the number of Licensed Inboxes. Right of Access and Use. During the Subscription Term, and subject to the terms of this Agreement, FireEye grants to Customer a non-exclusive right to (a) permit those Customer Representatives authorized by Customer to access and use the Cloud Subscriptions on Customer's behalf in compliance with the terms of this Agreement, and (b) to install, copy and use Premise Software in connection with Cloud Subscriptions in accordance with the Agreement and this Exhibit, but solely on systems and hardware owned or controlled or otherwise managed by Customer on behalf of and for the benefit of Customer, (c) to install, copy and use Device Software in connection with Cloud Subscriptions in accordance with the Documentation, but solely on devices used by Customer Representatives on behalf of and for the benefit of Customer. Notwithstanding anything else herein, the number of devices Customer and/or Customer Representatives may register to the Cloud Subscriptions may not exceed the number of Licensed Devices.
Right of Access and Use. (a) Seller hereby grants to Buyer the right to access and use Seller’s computing systems and networks necessary for Buyer to receive the benefit of the Services, in the sole manner described below, and for the sole purpose of operating and managing the Purchased Business and facilitating the orderly transition of the ownership and administration of the Purchased Business pursuant to the Purchase Agreement during the Term. Such computing systems and networks of Seller shall be cumulatively described as the “Transition Period Systems.” (i) Buyer agrees that all its approved users will accept and abide by all reasonable Terms of Use, Privacy and Security Policy required by Seller (“UPSP”) related to the Buyer’s use of the Seller’s Transition Period Systems and Buyer shall be responsible for its employees’ acceptance of and compliance with the UPSP. Notwithstanding anything therein to the contrary, Buyer agrees that neither Buyer nor any of its employees or users shall: (A) take any action which would result in the destruction, alteration or loss of any information contained therein or in any of the Seller’s Transition Period System; (B) introduce any computer viruses or other harmful software programs which may damage the Seller’s Transition Period System; (C) attempt in any way to determine the source code of any proprietary purchased or licensed software used in the Seller’s Transition Period Systems, or modify, disassemble, reverse assemble, decompile, reverse engineer or create derivative works based on such proprietary purchased or licensed software; (D) use the Seller’s Transition Period Systems for any purposes other than as permitted by this Agreement; (E) remove any proprietary notices, labels or marks on such proprietary purchased or licensed software; or (F) disclose (except as otherwise permitted by subsection (b) below) any of the Seller’s Proprietary Information (defined below) to any other person or entity. (ii) Buyer’s access to Seller’s Transition Period Systems shall be conditional on each Buyer’s user reading, signing and adhering to Seller’s UPSP. Buyer understands that its users shall be on the Seller’s network(s) and agrees to ensure its employees do not attempt to access any other applications or servers of Seller other than those expressly permitted hereunder.
Right of Access and Use. The Parties agree to exchange all Subject Data produced in the course of research under this CRADA. The Parties agree to share Research Materials equally unless other disposition is mutually agreed. Each of the Parties to this CRADA shall have the right to use all Subject Data and Research Materials for their own purposes, consistent with their obligations under this CRADA.

Right of Access and Use. 6.1 On and from the Service Start Date, and subject to the terms of the Agreement, BT grants you and the Authorised Users a limited, non-sublicensable, non-exclusive, non-transferable sub-licence, without the right to grant further sub-licences, to access and use the On Demand Journeys Portal within United Kingdom during the Term to the extent required for you to view, interact with and download parts of the On Demand Journeys Dataset in the On Demand Journeys Portal in connection with the Permitted Purposes. 6.2 Your access or use of the On Demand Journeys Portal must be in compliance with: 6.2.1 this Agreement; 6.2.2 the Tableau Terms; and 6.2.3 BT's instructions or directions, to the extent such instructions or directions are not inconsistent with the Tableau Terms. 6.3 You must not (and must ensure that your Authorised Users do not): 6.3.1 input or use your own data with the On Demand Journeys Portal or the underlying Tableau Software except as directed by BT, and must only use the On Demand Journeys Portal or the underlying Tableau Software in respect of the On Demand Journeys Dataset; 6.3.2 make the On Demand Journeys Portal or the underlying Tableau Software available to anyone other than you or your Authorised Users, or use the On Demand Journeys Portal or the underlying Tableau Software for the benefit of anyone other than you, your Authorised Users or your Clients; 6.3.3 sell, resell, license, sublicense, distribute, rent or lease the On Demand Journeys Portal or the underlying Tableau Software, or include the On Demand Journeys Portal or the underlying Tableau Software in a service bureau or outsourcing offering; 6.3.4 use the On Demand Journeys Portal or the underlying Tableau Software to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights; 6.3.5 use the On Demand Journeys Portal or the underlying Tableau Software to store or transmit Malicious Code; 6.3.6 interfere with or disrupt the integrity or performance of the On Demand Journeys Portal or the underlying Tableau Software or third-party data contained therein; 6.3.7 attempt to gain unauthorised access to the On Demand Journeys Portal or the underlying Tableau Software or its related systems or networks; 6.3.8 permit direct or indirect access to or use of the On Demand Journeys Portal or the underlying Tableau Software in a way that circumvents a contractual usage limit, or use the On...
