ENCUMBRANCES ON THE ASSETS. Except as set forth on the Seller's Disclosure Memorandum, there are no debts, liabilities, mortgages, liens, security interests, charges, pledges, conditional sale agreements, or adverse claims or restrictions, transfers or any other encumbrances (hereinafter "Encumbrances") whatsoever against the Assets.
