Common use of End of Term; Judicial Council Purchase Option Clause in Contracts

End of Term; Judicial Council Purchase Option. The Judicial Council shall have an option to purchase the System and any Alterations, materials, spares, tools, supplies and equipment or any portions of the System at the end of the Term of this SLA at a price agreed upon with Licensee, or if the Parties are unable to agree within ninety (90) days before expiration of the Term of this SLA, at fair market value as determined by a third party and accredited nationally recognized appraiser of solar photovoltaic systems reasonably selected by the Judicial Council. The Judicial Council shall give notice of its intent to enter negotiations for exercise of this option at least one hundred and eighty (180) calendar days before expiration of the Term of this SLA.
