Endeavour Authorizations Sample Clauses

Endeavour Authorizations. Endeavour and the Endeavour Material Subsidiaries have obtained all Authorizations necessary for the ownership, operation, development, maintenance, or use of the material assets of Endeavour or Endeavour Material Subsidiaries or otherwise in connection with the material business or operations of Endeavour or the Endeavour Material Subsidiaries as currently conducted and such Authorizations are in full force and effect. Endeavour and the Endeavour Material Subsidiaries have fully complied with and are in compliance with all Authorizations, except, in each case, for such non-compliance which, individually or in the aggregate, would not have an Endeavour Material Adverse Effect. There is no action, investigation or proceeding pending or, to the knowledge of Endeavour, threatened regarding any of the Authorizations. None of Endeavour or any of the Endeavour Material Subsidiaries has received any notice, whether written or oral, of revocation or non-renewal of any such Authorizations, or of any intention of any Person to revoke or refuse to renew any of such Authorizations, except in each case, for revocations or non- renewals which, individually or in the aggregate, would not have an Endeavour Material Adverse Effect and, to the knowledge of Endeavour, all such Authorizations continue to be effective in order for Endeavour and the Endeavour Material Subsidiaries to continue to conduct their respective businesses as they are currently being conducted. No Person other than Endeavour or an Endeavour Material Subsidiary thereof and the Government Entity which has granted or otherwise has authority on such Authorizations owns or has any proprietary, financial or other interest (direct or indirect) in any of the material Authorizations.
