Common use of ENDORSEMENT OF COMPANY STOCK Clause in Contracts

ENDORSEMENT OF COMPANY STOCK. Stockholders shall deliver at Closing the certificates representing the Company Stock, duly endorsed in blank by Stockholders or accompanied by stock powers duly endorsed in blank and with all necessary transfer tax and other revenue stamps, acquired at Stockholders' expense, affixed and cancelled. Stockholders, at their sole expense, agree to cure (both before and after Closing) any deficiencies with respect to the endorsement of the certificates or other documents of conveyance with respect to the Company Stock or with respect to the stock powers accompanying the Company Stock.
