Enforceability of Agreement and Related Documents. 55 Corporate Seller has executed and delivered this Agreement and the Related Documents, each of which constitutes the legal, valid and binding obligation of 55 Corporate Seller, enforceable in accordance with their respective terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium, liquidation or other laws relating to, or affecting generally, the enforcement of creditors’ rights and remedies or by other equitable principles of general application.
