Common use of Enforceability of Restrictive Covenants Clause in Contracts

Enforceability of Restrictive Covenants. (i) The Executive hereby acknowledges and agrees that (A) the restrictions on his activities contained in this Paragraph 9 are necessary for the reasonable protection of the Company Group and its goodwill and are a material inducement to the Company entering into this Agreement and (B) a breach or threatened breach of any such provisions shall cause irreparable harm to the Company and its affiliated companies for which there is no adequate remedy at law.

(ia) The Executive hereby acknowledges and agrees that (Ai) the restrictions on his activities contained in this Paragraph 9 Sections 10, 11, and 12 are necessary for the reasonable protection of the members of the Company Group and its their goodwill and are a material inducement to the Company entering into this Agreement and (Bii) a breach or threatened breach of any such provisions shall will cause irreparable harm to the members of the Company and its affiliated companies Group for which there is no adequate remedy at law.
