This Agreement and the other Transaction Documents have been (or upon execution and delivery will have been) duly executed and delivered by the Company, and (assuming due execution and delivery by the other parties thereto) constitute (or upon execution by the Company will constitute) legal, valid and binding obligations of the Company, except as such enforceability may be limited by the Bankruptcy Exception.
